Description

Contracts II covers important aspects of contract law not generally covered or not covered in great depth in the first-year Contracts course, and includes a substantial focus on contract drafting. There will be four graded drafting exercises that will require each student to draft particular contract clauses, notices, contract assignment documents, or the like; as part of each assignment, each student must explain her or his drafting choices in an accompanying 2 - 5 page paper. The instructor will provide feedback on each drafting exercise. In addition, there will be in-class discussion of different types of contracts. Substantive topics covered may include invalidating doctrines (mistake, fraud, duress, undue influence and unconscionability); contractual conditions; repudiation; impossibility and frustration of purpose; remedies; third party beneficiaries; and assignments of rights and delegation of duties. Contracts II is open to J.D. students who have completed their first year of law school (and who thus have taken the first-year Contracts course) or J.D. or M.S.L. students who have taken the first-year Contracts.
